Terms & Conditions

CONSULTING SERVICES AGREEMENT

1. THE PARTIES
This Agreement is entered into as of [Date], by and between CallHR ("Consultant") and [Client Name] ("Client").

2. SCOPE OF SERVICES
Consultant agrees to provide HR consulting services, which may include but are not limited to:

  • Insurance Assessment: Review of current policies, benefit plan analysis, and risk management recommendations.

  • Compliance: Auditing internal processes against federal/state labor laws and drafting compliant policy manuals.

  • Employee Relations: Assistance with conflict resolution, performance management frameworks, and termination procedures.

  • Custom Projects: Any additional services as outlined in a specific Statement of Work (SOW).

3. FEES AND PAYMENT

  • Service Fees: Client agrees to pay Consultant [Rate/Amount] for services rendered.

  • Invoicing: Invoices will be issued [Monthly/Bi-Weekly]. Payment is due within  30 days of the invoice date.

  • Late Payments: Payments not received by the due date shall accrue interest at a rate of 2% per month.

4. CONFIDENTIALITY

  • During the course of this engagement, Consultant will have access to "Confidential Information" (employee records, financial data, etc.). Consultant agrees to maintain the strictest confidentiality and shall not disclose such information to any third party without written consent, except as required by law

5. INTELLECTUAL PROPERTY

  • Client Work: Upon full payment, the specific deliverables created for the Client (e.g., a custom handbook) shall belong to the Client.

  • Consultant Property: Consultant retains all rights to its pre-existing materials, proprietary templates, and methodologies used to perform the services.

6. LIMATION OF LIABILITY

  • Client Work: Upon full payment, the specific deliverables created for the Client (e.g., a custom handbook) shall belong to the Client.

  • Consultant Property: Consultant retains all rights to its pre-existing materials, proprietary templates, and methodologies used to perform the services.

7. TERM AND TERMINATION

  • Term: This agreement remains in effect until the project is completed or terminated.

  • Termination: Either party may terminate this agreement with [Number] days’ written notice. If the Client terminates early, they remain responsible for payment for all work performed up to the termination date.

8. INDEMNIFICATION

  • Client agrees to indemnify and hold harmless CaaHR from any claims, losses, or legal fees resulting from actions taken by the Client based on the Consultant’s advice, or from inaccurate information provided by the Client.

9. GOVERNING LAW

  • This Agreement shall be governed by and construed in accordance with the laws of the State of  Maryland.

10. ENITRE AGREEMENT

  • This document constitutes the entire agreement between the parties and supersedes any prior oral or written agreements.
